Please read these Terms & Conditions carefully. By engaging Rcc India's services — whether through a signed agreement, purchase order, verbal instruction, or use of this website — you confirm that you have read, understood, and agree to be bound by these terms.
1. Introduction
These Terms & Conditions ("Agreement") govern the relationship between Rcc India ("Rcc India", "we", "us", or "our") and any business or individual ("Client", "you") that engages our services or accesses our website at rccvision.com.
Rcc India is a Limited Liability Partnership registered under the laws of India, headquartered at Unit No 509, Ocus Quantum, Sector 51, Gurgaon, Haryana 122101, India. We provide professional B2B debt collection, accounts receivable management, credit insurance facilitation, invoice verification, legal recovery, and credit policy design services operating in 197+ countries worldwide.
By entering into a service engagement with Rcc India you acknowledge that you have the legal authority to bind your organisation to this Agreement.
2. Definitions
For the purposes of this Agreement, the following terms have the meanings set out below:
- "Services" — any debt collection, accounts receivable management, credit insurance facilitation, invoice verification, legal recovery, credit policy design, or related financial services provided by Rcc India.
- "Debtor" — the third party who owes money to the Client and whose debt has been referred to Rcc India for collection or management.
- "Claim" — a specific debt or overdue invoice submitted by the Client to Rcc India for collection action.
- "Recovered Amount" — any funds actually received by Rcc India from a Debtor on behalf of the Client.
- "Commission Fee" — the percentage of Recovered Amount payable by the Client to Rcc India as remuneration for collection services.
- "Confidential Information" — all non-public business, financial, technical, and operational information disclosed by either party.
- "Personal Data" — any information relating to an identified or identifiable natural person as defined under applicable data-protection law.
3. Scope of Services
3.1 Engagement
Rcc India will provide the specific services agreed upon in a written Service Order, Letter of Engagement, or formal mandate signed by the Client. These Terms & Conditions are incorporated by reference into every such engagement.
3.2 Amicable Collections
Our standard approach is to pursue debt recovery through amicable, non-contentious means — including written communication, telephone negotiation, and structured repayment arrangements — with the aim of preserving the Client's commercial relationship with the Debtor wherever possible.
3.3 Legal Recovery
Where amicable recovery has been exhausted or the Client instructs legal action from the outset, Rcc India may engage its network of legal partners to pursue recovery through Section 138 (Negotiable Instruments Act), Civil Recovery Suit, NCLT, or other applicable legal processes. Legal fees, court charges, and disbursements are separate from Rcc India's commission and will be agreed in writing before any legal proceedings are commenced.
3.4 International Services
For cross-border claims, Rcc India engages local correspondents and agents. While we exercise due diligence in selecting partners, local legal and regulatory requirements may affect the approach and timeline of collection in specific jurisdictions.
3.5 No Guarantee of Recovery
Rcc India will use commercially reasonable efforts to recover the referred debt. However, we do not guarantee recovery in any specific case. Recovery outcomes depend on factors outside our control, including the Debtor's financial position and applicable laws.
4. Client Obligations
As a Client of Rcc India, you agree to:
- Provide complete, accurate, and up-to-date information regarding each Claim, including invoices, contracts, correspondence, and Debtor contact details.
- Confirm that all debts referred are genuine, legally valid, and not subject to any bona fide dispute or counterclaim unless disclosed in writing.
- Notify Rcc India immediately if a Debtor makes direct payment to you, enters into negotiations directly with you, or if a Claim is withdrawn.
- Not conduct parallel collection activity on any Claim that has been formally mandated to Rcc India without our prior written consent.
- Comply with all applicable laws in your jurisdiction when providing data or instructions relating to Debtors.
- Provide any additional documentation or authority reasonably required by Rcc India or its legal partners to pursue the Claim.
- Maintain confidentiality regarding Rcc India's strategies, pricing, and operational methods.
5. Fees & Payment
5.1 Commission-Based Fees
Unless otherwise agreed in writing, Rcc India operates on a "No Recovery — No Fee" basis for amicable collection services. Our commission is calculated as a percentage of the Recovered Amount and will be specified in your Service Order. Commission becomes due upon receipt of funds by Rcc India or directly by the Client following our intervention.
5.2 Fixed Fees & Retainers
For AR management, credit policy design, invoice verification, and other advisory services, fixed or retainer fees will be specified in the applicable Service Order and are payable in advance or as otherwise agreed.
5.3 Disbursements
Out-of-pocket expenses incurred in pursuit of a Claim — including but not limited to courier, translation, notarisation, court filing fees, and international agent charges — are payable by the Client and will be invoiced separately with supporting documentation.
5.4 Late Payment
Invoices are due within 30 days of the invoice date unless otherwise agreed. Overdue amounts attract simple interest at 18% per annum (1.5% per month) from the due date until payment in full.
5.5 Currency
Unless otherwise stated, all invoices are issued in Indian Rupees (INR). For international mandates, the agreed currency will be stated in the Service Order.
6. Confidentiality
Both parties agree to keep confidential all Confidential Information received from the other party and to use such information solely for the purposes of performing or receiving the Services. This obligation continues for a period of three (3) years after termination of the engagement.
Confidentiality obligations do not apply to information that:
- is or becomes publicly available other than through a breach of this Agreement;
- was already known to the receiving party prior to disclosure;
- is required to be disclosed by law, regulation, or court order; or
- is disclosed to legal, financial, or professional advisors who are themselves bound by equivalent confidentiality duties.
7. Data Protection
7.1 Compliance
Both parties will comply with all applicable data-protection and privacy laws, including (where applicable) the Information Technology Act, 2000, the IT (Amendment) Act, 2008, and the Digital Personal Data Protection Act, 2023 ("DPDPA") of India, and any equivalent legislation in other relevant jurisdictions.
7.2 Processing of Personal Data
The Client, as data controller, authorises Rcc India to process Debtor Personal Data solely for the purposes of providing the agreed Services. Rcc India will not sell, transfer, or otherwise disclose such data to third parties except as necessary for debt collection activities or as required by law.
7.3 Data Security
Rcc India maintains appropriate technical and organisational security measures to protect Personal Data against unauthorised access, loss, or destruction. Any Personal Data breach that may affect the Client will be reported without undue delay.
7.4 Retention
Personal Data is retained only for as long as necessary to fulfil the Services and meet our legal obligations. Upon conclusion of a mandate, data will be returned or securely deleted upon written request.
8. Intellectual Property
All methodologies, processes, templates, software tools, and proprietary systems used or developed by Rcc India in the course of providing the Services remain the exclusive property of Rcc India. This Agreement does not transfer any intellectual property rights to the Client.
Any reports, analysis, or deliverables produced specifically for the Client under a paid engagement are licensed to the Client for internal use only and may not be reproduced, distributed, or published without Rcc India's prior written consent.
9. Limitation of Liability
9.1 Exclusions
To the maximum extent permitted by applicable law, Rcc India shall not be liable for:
- any indirect, incidental, special, consequential, or punitive damages;
- loss of profits, revenue, business, anticipated savings, or goodwill;
- the actions or omissions of Debtors or third-party correspondents and legal partners;
- delays or failures caused by circumstances outside Rcc India's reasonable control, including natural disasters, government actions, strikes, or communication failures.
9.2 Cap on Liability
Rcc India's total aggregate liability to the Client in connection with any single engagement shall not exceed the total fees actually paid by the Client to Rcc India under that engagement in the twelve (12) months preceding the event giving rise to the claim.
9.3 Accuracy of Information
Rcc India relies on the accuracy of information provided by the Client. We accept no liability for any loss arising from inaccurate, incomplete, or misleading information supplied by the Client.
10. Indemnification
The Client agrees to indemnify, defend, and hold harmless Rcc India, its partners, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- the Client's breach of this Agreement;
- the Client's breach of any applicable law or regulation;
- inaccurate or fraudulent information provided by the Client; or
- any claim by a Debtor that the underlying debt is invalid, disputed, or improperly referred.
11. Termination
11.1 Termination for Convenience
Either party may terminate an engagement by giving thirty (30) days' written notice to the other party. Termination does not affect any Claims already in progress; Rcc India remains entitled to its commission on any amounts recovered during the notice period and thereafter on Claims where recovery results from Rcc India's prior actions.
11.2 Termination for Cause
Either party may terminate the engagement immediately upon written notice if the other party materially breaches this Agreement and fails to remedy such breach within fourteen (14) days of written notice, or if the other party becomes insolvent, enters liquidation, or ceases to carry on business.
11.3 Post-Termination
Upon termination, the Client shall promptly settle all outstanding fees and disbursements. Obligations regarding confidentiality, data protection, and indemnification survive termination.
12. Dispute Resolution
The parties will first seek to resolve any dispute arising under this Agreement through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice by either party, the matter may be referred to mediation conducted in Gurugram, Haryana, under the rules of an agreed mediation centre.
If mediation does not result in resolution, either party may submit the dispute to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English in Gurugram. The award of the arbitrator(s) shall be final and binding on both parties.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of India. Subject to the dispute resolution procedure in Clause 12, the parties submit to the exclusive jurisdiction of the courts of Gurugram, Haryana, India.
14. Amendments
Rcc India reserves the right to update these Terms & Conditions at any time. Material changes will be communicated to active Clients by email or written notice at least fourteen (14) days before they take effect. Your continued use of our Services after the effective date of any update constitutes acceptance of the revised Terms.
